Impact Fee Credit and Reimbursement Agreement for Fort Hamer Road Extension

Section 1106 of the Manatee County Land Development Code
Extension of the Ft. Hamer Road south from Moccasin Wallow Road to US 301 is an important element of the County's transportation roadway network (referred to herein as the Ft. Hamer Extension). NP Land Partners, LLC, ("The Landowner"), possesses certain real property, located in the Villages of Amazon South, in Manatee County and this property is the subject to a Local Development Agreement. The Landowner is presently in design and construction of Ft. Hamer Road north of Moccasin Wallow as part of their access to their property site. Ft. Hamer Extension north of US 301 to Erie Road is an approved and budgeted Capital Improvement Project (CIP).
Per the executed agreement between Manatee County and Manatee County School Board, Manatee County is obligated to construct Ft. Hamer Extension south of Erie Road to provide access to the new North County High School by July 31, 2019.
The Landowner is willing to design, permit and construct, and Manatee County is willing to fund, the cost of the Ft. Hamer Extension. The Landowner desires to enter into the agreement with Manatee County for reimbursement of the Segment B and C portion, and award of the impact fee credits for Segment A portion, the cost of the design, permitting, engineering and construction of the Ft. Hamer Extension ("Ft. Hamer Extension Cost").
Ft. Hamer Extension Segments are described as follows:
Segment B shall provide access to the new school facilities planned for development by the Manatee County School District (the "School District"), including a new high school on lands owned by the School District.
Ft. Hamer Extension road design features are described as follows:
County reimbursement of the Ft. Hamer Extension Costs shall be limited to the Segments B and C. The amount reimbursed to the landowner for Ft. Hamer Extension Costs, as provided in the construction estimate shall not exceed twelve million dollars ($12,000,000.00), and the reimbursement shall be limited solely to the actual cost incurred for the Ft. Hamer Extension Costs. Following the completion of one hundred percent (100%) construction plans, a final construction cost bid for each Segment (the "True Up Estimate") will be prepared utilizing the Bid and Schedule of Values costs, to reflect the final construction price anticipated for each Segment. The landowner shall be reimbursed for construction management services in the stipulated amount of three hundred and sixty thousand dollars ($360,000.00) to be amortized and itemized in its invoices over no less than six (6) and no more than twenty four (24) progress payments.
Regarding the Award of Impact Fee Credits (Segment A), Manatee County shall award Landowner transportation impact fee credits for the Ft. Hamer Extension Costs incurred for Segment A. The total amount of the transportation impact fee credits provided by the County shall be equal to the construction price for Segment A, determined following the completion of one hundred percent (100%) construction plans, a final construction price. The transportation impact fee credits awarded pursuant to this agreement may be used by the Landowner in accordance with Section 1106 of the Manatee County Land Development Code ( "LDC") only in connection with development that occurs within the Ft. Hamer Road Extension Credit Use Area, as depicted in Exhibit "H" of the agreement, for which the Landowner, its affiliates and assignees, conducts impact fee generating activity for which impact fee credits might be utilized under the LDC. In Addition, Manatee County shall purchase outstanding credits held by the Landowner on a semi-annual basis following acceptance of construction by the County, but solely from transportation impact fees actually collected by Manatee County from new residential construction occurring in the Ft. Hamer Road Extension Credit Use Area.
